Version SC-TERMS-2026.09.26 — effective 2026-09-26. This page summarises the Chorix Social Command licence agreement and links to the full text. Please read section 5 — it describes what the AI agents in this app are able to do on your computer.

1. Who you are contracting with, and what the software is

Chorix Social Command is a product of SPEKTX LLC ("we", "us"). It is a local-first, single-tenant campaign desk that runs on one Windows PC. It starts an embedded database, a local app on the loopback address (127.0.0.1), and a bridge that runs AI agents ("seats") on your own command-line sign-in or key. A seat is software, not a person. There is no hosted service and no shared account behind it. You accept the full agreement by signing it after payment, with the button SIGN AND ACCEPT LICENSE. The acknowledgment the app asks for before the first agent runs (section 5) is a separate record, not the agreement. If you do not accept these terms, do not buy or run the software.

2. The licence, the price and its term

A monthly subscription. A non-exclusive, non-transferable, non-sublicensable licence to install and run one copy for your own business or personal use (see One principal on one PC, below), for each month you have paid for. Updates released during a paid period are included.

• Price. Intentionally not offered for sale. The commerce system behind this product is built and proven.
• Billed monthly. Cancel any time; cancelling stops the next renewal. If a payment is not received, work and publishing pause after a 14-day grace until it is; your records stay readable and exportable.
• While work is paused, the app still starts, scheduled posts are held rather than deleted, and nothing is deleted. When payment is received, work resumes; posts whose time passed during the pause wait for you to release them.
• A paid month already begun is not refunded, except where the law requires otherwise. Your order confirmation, sent by email for you to keep, states the monthly renewal and how to cancel. If you are in the EU or UK, you would otherwise have 14 days to cancel; at checkout you ask for supply to begin at once and acknowledge that you lose that right once supply begins. You can still cancel at any time to stop the next renewal.
• A partial refund of a payment does not end the subscription or the license; they continue as before. A full refund of a payment ends the subscription, and the license lapses with it.
• If you cancel before a renewal date and we still charge a renewal for that date, we refund that payment in full within 10 business days after we learn of it, for example from your email to admin@chorixstudiosc.com, and your subscription is not renewed. You do not need to dispute the charge with your card issuer.
• One principal on one PC. Your licence is for one principal, you, on one PC. This is a term of the licence, a limit on permitted use. It is not a technical control, and the software does not claim to enforce it.
• Renewal check. The app periodically renews its signed licence file from SPEKTX's site. The renewal sends your licence file, not your content. You can also download a fresh licence file from your account page and adopt it in the app.

3. What you may not do

• Host it for others, run it as a shared or multi-tenant service, or rent, lease, lend, sell, sublicense or redistribute it.
• Remove or alter any copyright, licence or notice file, including LICENSE.txt and THIRD-PARTY-NOTICES.txt.
• Reverse-engineer, decompile or disassemble it, except to the extent the law, or a third-party licence, allows despite this restriction (section 8).
• Use it to break the law or the terms of any platform you connect to it.
• Use it for fake accounts or fake engagement, to manipulate a platform's metrics, to evade a platform's limits or enforcement, to send commercial messages the law does not allow, or to publish unlawful, infringing, defamatory or harassing content.

4. Your own AI sign-in, subscription or key

We do not supply model access. The agents run on your own Claude or Codex command-line sign-in, using a subscription you hold with that provider, or on the Gemini command line with your own Gemini API key. Your use of it is governed by that provider's terms, and its fees and limits are between you and that provider. Content the agents work on is sent to the model provider whose sign-in or key the agent uses, under that provider's terms.

5. The full tier — read this

The software runs its agents at the full tier by default. This is a product setting, and this page states it plainly:

At the full tier, which is the default, the AI agents in this app can run any command on this PC as you, and content they read from the web, RSS feeds or Gmail can carry hidden instructions (prompt injection) that reach that command line.

• At the full tier, none of Claude, Codex or Gemini stops to ask you before it runs a command.
• A command an agent runs has the same access to this PC, its files, its network and your signed-in accounts as you do.
• A web page, RSS feed item or email an agent reads may contain text written to steer it, and that text can lead it to run a command you did not intend.
• You can cast a seat at a lower tier (read-write or read-only) instead.

Before the first seat runs, the app asks you to record this acknowledgment. The box is never ticked for you.

6. Your responsibility for the agents and for connected channels

• Agent actions. You are responsible for every action the agents take on your PC and in your accounts, including commands they run, files they change, and messages or posts they send.
• Platform terms. You are responsible for the terms, policies, developer rules, review requirements and rate limits of every channel you connect: Meta (Facebook and Instagram), Google (YouTube and Gmail), X, TikTok and LinkedIn. You create and hold your own developer apps, keys and permissions. We do not warrant that any platform will approve, keep or not suspend your app or account.
• Content. You are responsible for what is published from the software and for having the rights to it.
• Review before you approve. Agent output can be wrong, infringing or unsuitable for a platform. Review every post and message before you approve it.
• Claims about your content. If someone makes a claim against us because of your content, your posts or messages, the platform accounts and developer apps you hold, or your breach of these terms, you will defend and indemnify us, to the extent the law allows.

7. Approvals to publish are your presses

An approval to publish, schedule or send is your own press. When you approve, you are the one publishing. We do not review, approve or publish anything on your behalf.

8. Open-source components

The software includes third-party components under their own open-source licences. Those components remain licensed to you under their own terms, not under this agreement, and where they conflict with this agreement they prevail. They are listed in THIRD-PARTY-NOTICES.txt in the software folder. Source is available on request from admin@chorixstudiosc.com where a licence requires it.

9. Your data stays on your PC

The software keeps its database, identity, media and settings on your PC, under %LOCALAPPDATA%\ChorixSocialCommand. We run no server that stores your data. Data leaves your PC only where you or an agent send it: to the model provider whose sign-in or key an agent uses, to the channels you connect, and to any other service an agent reaches. The app also sends your licence file to our site when it renews it (section 2); it does not send your content. The privacy notice sets this out: privacy notice.

10. Updates

We may, but need not, offer updates, and any update is licensed under this agreement unless it comes with its own terms. Updates released while your subscription is paid are included. The software does not update itself. Keep a copy of your data before applying any update.

11. No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE, ANY AGENT OUTPUT, OR ANY CONNECTED PLATFORM WILL BE ACCURATE, UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT PROMPT INJECTION OR ANY OTHER MISUSE OF AN AGENT CAN BE PREVENTED. NO ADVICE OR INFORMATION FROM US OR FROM AN AGENT CREATES A WARRANTY NOT STATED IN THESE TERMS.

12. Limitation of liability

TO THE EXTENT ALLOWED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR ACCOUNTS, INCLUDING LOSS CAUSED BY A COMMAND AN AGENT RUNS, BY PROMPT INJECTION, BY A POST OR MESSAGE YOU APPROVED, OR BY A PLATFORM'S ACTION AGAINST YOUR ACCOUNT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AND US$100. Nothing here limits liability that cannot be limited by law.

Neither the exclusion nor the limit above applies to our gross negligence or wilful misconduct, or to death or personal injury caused by us, to the extent the law does not permit that liability to be limited.

13. Termination

Your licence ends automatically if you breach it, and when a cancelled subscription reaches the end of its paid period. If a payment is not received, it pauses as section 2 states. You may end it at any time by deleting the software; deleting it does not cancel your subscription, so cancel that as section 2 states. When the licence ends, the subscription ends with it and no further renewal is charged. When it ends, stop using the software and delete all copies. Your data remains yours. The uninstaller that comes with the software, UNINSTALL.cmd, asks you to type UNINSTALL, offers to export your data first, and then deletes your data folder (%LOCALAPPDATA%\ChorixSocialCommand); it leaves the files the software writes to the Windows temp folder, your AI command-line tools' own histories and the program folder, and it does not withdraw access you gave to your channels. Sections 5 to 8 and 11 to 16 survive termination.

If we decide to stop offering Chorix Social Command, we will email you at least 60 days before we stop and take no renewal after that notice. Your licence runs to the end of the last month you paid for, and your records stay readable and exportable.

14. Export

You must comply with all export control and sanctions laws that apply to you and to the software, including those of the United States.

15. Governing law

These terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules; the state and federal courts located in New Jersey have exclusive jurisdiction. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction over it, while the claim stays within that court's limits. These terms do not require arbitration and contain no class-action waiver. Nothing here removes any consumer protection you hold under the mandatory law of the place you live.

16. General and contact

Changes. Because your subscription renews each month, we may change these terms, or the standard price, for months not yet begun. We will email you at least 30 days before the renewal on which a change takes effect, and no change applies to your subscription on less notice. A change never applies to a month you have already paid for, and it does not remove an early-bird price you keep while your subscription stays active. If you do not accept a change, cancel before that renewal.

This page is a summary. The Chorix Social Command Software License Agreement, with the privacy notice and the third-party notices, is the whole agreement between you and us about the software, and it governs if this page differs from it. SPEKTX LLC — admin@chorixstudiosc.com
